SK Ecoplant to absorb subsidiary SK Eco Engineering to boost AI infrastructure competitiveness

SK Ecoplant will absorb its wholly owned subsidiary SK Eco Engineering in a merger aimed at consolidating design and construction capabilities to strengthen its competitiveness and efficiency in AI infrastructure projects, including semiconductor factories and AI data centers.

The company disclosed the plan Thursday, setting Dec. 1 as the effective merger date.

The merger is intended to streamline management and expand synergies in the AI infrastructure business. By integrating project execution capabilities that had been split between the two companies, SK Ecoplant plans to better address the semiconductor fab and AI data center markets, where investment and capacity expansion have been accelerating.

Once the merger is complete, SK Ecoplant will bring SK Eco Engineering's engineering expertise in-house. SK Eco Engineering has carried out projects in energy infrastructure — including combined-cycle power plants, cogeneration facilities and terminals — as well as advanced industrial plant work in the battery, lithium-ion battery separator and biotech sectors.

SK Ecoplant said it expects the integration to deliver strong collaboration benefits, particularly for AI data centers and semiconductor fabs, where design, construction and process management must work in close coordination from initial planning through final completion.

Combining SK Eco Engineering's plant and advanced industrial facility engineering capabilities with SK Ecoplant's construction and project management expertise will allow integrated cost and schedule control from the earliest stages of a project, the company said. The merger is also expected to improve both order competitiveness and profitability while strengthening the foundation for winning large-scale contracts.

"We will accelerate our transformation into an 'AI Infra Solution' company on the strength of integration synergies, reinforce our AI infrastructure order competitiveness and sustain profit-driven growth."

Meanwhile, SK Ecoplant recently reorganized its structure to establish a dedicated AI data center business unit, consolidating previously dispersed business, technology, design, procurement and construction — or EPC — functions related to AI data centers to meet rising demand and sharpen its order competitiveness.
